Job Purpose

  • Admin/Secretarial Scheduling, drafting agenda, preparing minutes of meetings of all Board meetings, AGMs, sub-committees of the Board including Audit, Asset Liability, Share allotment & Executive Committee, etc


ORGANISATION CHART

Key Accountabilities

Ensure compliance of the action points of the meetings Maintaining all documentation as required by the relevant authorities

Ensuring compliance with the provisions of the Companies Act, 2013, listing Compliances and other applicable laws etc. on day to day basis. Drafting of Board reports/Annual disclosures of Directors, facilitating Annual Performance evaluation of the Board, etc. Making necessary arrangements for Committees/Board/General meetings of the companies for smooth process flow. Updating and maintenance of Statutory records and registers, Minutes Book of various meetings.

Assistance to statutory/internal/secretarial/Cost Auditor, ROC and other authorities for necessary compliances as per Companies Act, 2013 and SEBI LODR regulations

Preparation of Board Presentations, Sector presentations, etc. for various meetings including Committee/Board meetings of the Companies

Coordination & assisting the senior management with external/internal audits, inspections including RBI and other external regulatory agencies.

MIS Reports and Records maintenance: Ensuring compliance of the action points of the meetings MIS, Prepare & send internal MIS as required by senior management.

Training and development / PMP/Goals Sheets: -Conducting internal trainings, related to Secretarial and Legal issues.
