Manager / Senior Manager - Transaction Advisory

Transaction & Deal Support

• Lead legal and regulatory research across the Income Tax Act, Companies Act, FEMA,Stamp Duty, SEBI Regulations, IND AS and other applicable laws for live transactions.

• Own the design of cost-efficient structures and lead execution of mergers, demergers, BTA,acquisitions, shareholder exits, fund repatriation, pre-IPO restructuring and domestic and

cross-border reorganisations.

• Advise on ESOP and equity incentives (stock options, RSUs, SARs and phantom equity plans) covering perquisite tax, TDS compliance, ESOP trust structuring, vesting and exercise

mechanics, and pre-IPO / PE-backed plan design.

• Lead India-US advisory covering cross border reorganisations and structuring, CFC/PFIC implications, pre-immigration planning, FTC, source and residency determination.

• Significant use of AI to work more efficiently, which includes designing or getting systemsdesigned.

• Review and finalise technical notes, opinions, presentations and transaction documents, ensuring timely completion of client deliverables and conducting trainings on emerging developments.

Succession & Estate Planning

• Lead succession strategies for operating businesses, passive income assets, artwork or charities, and advise on HUF and intra-family wealth transfer.

• Supervise drafting of shareholder agreements, family arrangements and partition deeds, and review related technical notes and presentations.

• Design trust structures, family charters and governance frameworks to ensure continuity,control, protection and alignment of values.

• Mentor and develop the team, allocate and review work, and deliver seminars and thought- leadership sessions to clients.
