Job Opportunity: Company Secretary G Compliance Officer

Reporting To: Chairman C Managing Director/ Board of Directors
Candidate Profile
- Ǫualified Company Secretary (Associate/Fellow Member of the Institute of Company Secretaries of India - ICSI). A degree in Law (LLB) will be highly preferred.
- 4–7 years of post-qualification experience, with significant exposure to handling secretarial and compliance functions for a publicly listed manufacturing entity.
Core Responsibilities
- SEBI G Stock Exchange Compliances
- Act as the designated Compliance Officer under SEBI (ListingObligations and Disclosure Requirements) Regulations, 2015.
- Ensure timely disclosures, filings, and reporting to the Stock Exchanges (BSE C CSE).
- Administer and ensure strict adherence to SEBI (Prohibition of Insider Trading)Regulations and SEBI (Substantial Acquisition of Shares and Takeovers) Regulations.
- Manage shareholder grievances and coordinate with the Registrarand Share TransferAgents (RTA).
- Board G Corporate Governance
- Organize, convene,and conduct Boardof Directors, Committee, and General (AGM/EGM) Meetings.
- Prepare and circulate agendas,notices, and detailednotes to the Board in a timely manner.
- Draft, finalize, and maintainaccurate minutes of all Board,Committee, and Shareholder meetings.
- Advise the Board on best practicesin corporate governance and ensure the highest standards of ethical business operations.
- Statutory G MCA Compliances
- Ensure end-to-end compliance with the Companies Act, 2013, and rules made thereunder.
- File all necessary e-forms,annual returns, and resolutions with the Ministryof Corporate Affairs (MCA) and Registrar of Companies (ROC).
- Coordinate with independent practicing Company Secretaries for the Annual Secretarial Audit and Secretarial Compliance Reports.
- Maintain and update all statutory registers, records, and minutebooks.
- Legal G Regulatory Affairs (If holding dual LLB qualification)
- Draft, review, and vet commercial contracts, vendor agreements, and non-disclosure agreements (NDAs).
- Liaise with external legalcounsels, regulatory bodies,and government departments (Pollution Control Boards, SEZ authorities, etc.) as required by the manufacturing units.
Key Skills Required
- Exceptional command over corporate laws, SEBI guidelines, and FEMA regulations.
- Strong drafting and communication skills,with the abilityto interact confidently with the Board of Directors and senior management.
- High ethical standards, meticulous attention to detail,and a proactive approach to regulatory changes.
