We are looking for an experienced and highly capable Company Secretary to manage corporate secretarial functions, statutory compliance, governance, and regulatory matters for a growing organization with interests in the hotel and hospitality sector. The ideal candidate will have 10–30 years of relevant experience, strong knowledge of corporate laws and securities regulations, and meaningful exposure to IPO readiness, listing processes, and capital-market compliance.
The role requires close coordination with the Board of Directors, senior management, legal and finance teams, regulators, auditors, consultants, and external stakeholders. The successful candidate will ensure that all corporate actions and governance practices are executed accurately, efficiently, and in accordance with applicable regulations.
Requirements
Key Responsibilities
- Manage the complete Company Secretarial function, including statutory records, registers, minutes, resolutions, filings, and corporate documentation.
- Ensure compliance with the Companies Act, SEBI regulations, stock exchange requirements, and other applicable corporate and securities laws.
- Organize and coordinate Board Meetings, Committee Meetings, General Meetings, AGMs, and EGMs, including preparation of agendas, notices, presentations, minutes, and resolutions.
- Provide guidance to the Board and senior management on corporate governance, regulatory requirements, and statutory obligations.
- Manage statutory filings with the Registrar of Companies (ROC), MCA, SEBI, stock exchanges, and other regulatory authorities.
- Lead or support IPO preparation and execution, including IPO readiness, corporate restructuring, due diligence, documentation, regulatory submissions, and coordination with advisors.
- Coordinate with investment bankers, legal counsels, auditors, registrars, merchant bankers, and other external advisors during IPO and capital-market activities.
- Ensure timely compliance with post-listing obligations, disclosure requirements, investor-related matters, and corporate governance requirements.
- Manage corporate actions such as share issuances, transfers, allotments, buybacks, bonus issues, preferential allotments, ESOPs, mergers, acquisitions, and other restructuring activities as applicable.
- Maintain accurate statutory registers, shareholding records, beneficial ownership records, and other corporate documentation.
- Support due diligence processes for fundraising, investments, acquisitions, strategic transactions, and other major corporate initiatives.
- Monitor changes in corporate, securities, and regulatory laws and advise management on their potential impact.
- Coordinate with internal and external auditors and support compliance reviews and regulatory inspections.
- Oversee compliance requirements specific to hotel and hospitality businesses, including corporate structures, subsidiaries, joint ventures, investments, and stakeholder arrangements where applicable.
- Establish strong governance frameworks and ensure adherence to internal policies and statutory standards.
Must-Have Skills
- Company Secretary: Strong expertise in corporate secretarial operations, Companies Act, MCA/ROC filings, Board governance, and statutory compliance.
- IPO: Hands-on experience in IPO preparation, listing, due diligence, regulatory compliance, and capital-market transactions.
- Hotels / Hospitality: Relevant experience working with hotel, hospitality, real-estate hospitality, or related businesses is highly preferred.
- Strong knowledge of SEBI, stock exchange, corporate governance, and securities regulations.
- Excellent documentation, drafting, compliance monitoring, and stakeholder-management skills.
- Ability to work effectively with senior leadership, Board members, regulators, auditors, legal advisors, and financial institutions.
Qualifications & Experience
- Qualified Company Secretary (CS) with relevant professional experience.
- 10–30 years of experience in company secretarial, corporate governance, compliance, and related functions.
- Prior exposure to IPO/listing processes is essential.
- Experience in the hotel/hospitality industry will be strongly preferred.
- Strong communication, analytical, organizational, and problem-solving abilities.
- High attention to detail with the ability to manage multiple regulatory and corporate priorities simultaneously.
