Audit Committee Chair — Digital Trust, Revenue Integrity and Platform Resilience

The business delivers technology and trust-sensitive services. Its financial result depends on contracts, platform availability, protected information, customer acceptance and continuing service obligations. The Audit Committee Chair must therefore examine not only whether the ledger is correct, but whether the digital and operational evidence feeding the ledger is complete, controlled and resilient.

Contract and revenue assurance

The committee will review subscription, licence, implementation, transaction and support elements according to their economic obligations. Material contracts should show entitlement, performance evidence, acceptance, variable consideration, credits, renewal, collection and continuing cost. Unbilled revenue and contract assets require ageing, customer confirmation and explanation of the dependency preventing billing or collection.

Capitalised product or development expenditure, cloud commitments, acquired intangibles and impairment will be assessed against adoption, revenue, technical viability and maintainability. A product remaining available is not sufficient evidence of continuing economic value.

Platform integrity

The Chair will require assurance over privileged access, cryptographic or security controls where material, release and configuration management, logs, software dependencies, key vendors, backup and restoration. Certifications are useful evidence but cannot replace understanding how a control operates in the actual service path.

Incident reporting should link technology fact, customer consequence, contractual duty, financial estimate and disclosure judgement. Recovery must establish both availability and integrity. The Board should know how errors are identified across affected transactions and how customers receive usable correction.

Third parties and concentration

Cloud providers, technology partners, data sources and outsourced operations can form part of a single customer promise. Audit scope should follow material processing and information beyond the legal boundary. Concentration, subcontracting, audit rights, financial health, transition time and exit feasibility deserve explicit review.

NRC and CSR extension

As an NRC member, the director will connect repeat control and resilience evidence to leadership assessment, control-function stature and incentive design. The CSR chairship requires equal discipline over partner due diligence, outcome measurement, beneficiary safeguards and data use; social programmes must not become reputation cover for unresolved operating weakness.

Chairing practice

Private sessions with statutory and internal auditors, the CFO, security and compliance leaders will be held when warranted. Repeat findings remain open until control effectiveness changes. The Chair will protect dissent and record unresolved assumptions rather than allow consensus wording to conceal a genuine difference.

The first two cycles

The incoming Chair will trace one material service from contract through system event, billing, cash and grievance, then test restoration of the underlying critical platform. Those exercises will determine the assurance plan.

Profile sought

Candidates may be technology CFOs, audit partners, CIO/CISOs with enterprise governance experience, platform-business leaders or risk executives. They must connect accounting with technology evidence while respecting management boundaries. Audit Committee leadership is preferred. Independence, DIN, databank standing and material-incident availability are required.
